1. Acceptance of Terms
By installing, accessing, or using Aura AI — GEO & AI Search ("Aura AI", "App", "Service"), provided by NexaSoftech ("we", "our", "us"), you ("Merchant", "you") agree to be bound by these Terms and Conditions ("Terms"). If you do not agree, do not install or use the App.
These Terms apply in addition to the Shopify Partner Program Agreement, Shopify API License and Terms of Use, and Shopify's Acceptable Use Policy. In case of conflict between these Terms and Shopify's terms, Shopify's terms prevail for matters within Shopify's control.
2. Description of Service
Aura AI is a Shopify application that helps merchants optimize their online stores for Generative Engine Optimization (GEO) and discoverability by AI search engines and large language models. The Service includes, but is not limited to:
- Generation and serving of an llms.txt file tailored to your store
- AI-assisted content optimization for products, collections, and pages
- Analytics on AI bot visits and AI-referred traffic
- Structured data and metadata enhancements
- Related features as described on our listing or in-app
Feature availability depends on your subscription plan and may change as the Service evolves.
3. Eligibility and Account
You must:
- Operate a valid Shopify store in good standing
- Be at least 18 years of age or the age of majority in your jurisdiction
- Have authority to bind the business entity on whose behalf you install the App
- Provide accurate, current information and keep it up to date
4. Subscription, Billing, and Free Trial
- Subscription fees are billed through the Shopify Billing API and appear on your Shopify invoice.
- Plans, pricing, and features are disclosed in the App listing and in-app billing screens. Prices may change with at least 30 days' notice.
- Free trials, if offered, convert to paid plans automatically at trial end unless the App is uninstalled before then.
- Uninstalling the App cancels the subscription going forward. Shopify's refund policy governs refunds; we generally do not issue refunds for partial billing periods except where required by law.
- You are responsible for all applicable taxes unless we are required to collect them.
5. License Grant
We grant you a limited, non-exclusive, non-transferable, revocable license to use the App for your own Shopify store(s) during the subscription term, subject to these Terms.
6. Merchant Responsibilities and Acceptable Use
You agree that you will not:
- Reverse engineer, decompile, or attempt to extract source code of the App
- Resell, sublicense, or make the App available to third parties outside your store(s)
- Use the App to generate misleading, deceptive, infringing, or unlawful content
- Upload or process content that violates third-party rights, including intellectual property
- Attempt to overload, probe, or disrupt our infrastructure
- Circumvent usage limits, rate limits, or billing controls
- Use the App in violation of Shopify's Acceptable Use Policy or applicable law
You are solely responsible for the content published to your storefront, including AI-generated or AI-assisted content reviewed and approved by you.
7. AI-Generated Content Disclaimer
The App uses third-party large language models (including OpenAI) to generate suggestions and content. AI output may be inaccurate, incomplete, or inappropriate. You are responsible for reviewing, editing, and approving all AI-generated content before it is published to your store or served to shoppers or AI crawlers. We make no warranty that AI output is accurate, fit for purpose, or non-infringing.
8. Shopify Data, Theme Access, and Permissions
To function, Aura AI requests Shopify access scopes including (but not limited to) read/write access to products, content, and themes. By installing the App you authorize us to access and modify the data within those scopes on your behalf. You may revoke access at any time by uninstalling the App; this will terminate the Service and stop data processing (subject to legally required retention).
Any modifications we make to your theme or store content are made at your request via the App. You are advised to maintain theme backups. We are not liable for merchant-initiated changes you later reverse or that conflict with other apps or customizations.
9. Third-Party Services (Subprocessors)
The App relies on third-party services ("Subprocessors"), including:
- Shopify — platform, authentication, billing
- OpenAI — AI content generation
- DigitalOcean — hosting and infrastructure
- Upstash (Redis) — queues and caching
- Analytics, error tracking, and email providers (as disclosed in the Privacy Policy)
We are not responsible for outages, errors, or policy changes of Subprocessors, but we will take reasonable steps to mitigate and communicate material incidents.
10. Intellectual Property
All rights, title, and interest in the App, its code, interfaces, trademarks, documentation, and underlying technology remain with NexaSoftech. Content generated for your store on your behalf is owned by you, subject to third-party model terms (e.g., OpenAI output terms). Feedback you provide may be used by us to improve the Service without obligation to you.
11. Confidentiality
Each party agrees to protect non-public information received from the other with the same degree of care used for its own confidential information, and no less than reasonable care. This does not apply to information that is public, independently developed, or required to be disclosed by law.
12. Service Availability and Support
We target high availability but do not guarantee uninterrupted service. We may perform maintenance, updates, or feature changes with or without notice. Support is offered via support@nexasoftech.com during business hours (IST).
13. Suspension and Termination
We may suspend or terminate the App or your account if you:
- Breach these Terms or Shopify's terms
- Fail to pay subscription fees
- Use the App in a way that risks harm to us, Shopify, other merchants, or shoppers
- Are required to be suspended by law or by Shopify
You may terminate at any time by uninstalling the App from your Shopify admin.
Upon termination, your license ends, access is revoked, and data is handled per the Privacy Policy and Shopify's mandatory data-deletion webhooks.
14. Disclaimer of Warranties
THE APP IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND THAT THE APP WILL MEET YOUR REQUIREMENTS OR INCREASE AI VISIBILITY, TRAFFIC, OR SALES.
15. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEXASOFTECH SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO THE APP. OUR AGGREGATE LIABILITY FOR ANY CLAIM SHALL NOT EXCEED THE TOTAL FEES PAID BY YOU TO US FOR THE APP IN THE THREE (3) MONTHS PRECEDING THE CLAIM.
16. Indemnification
You agree to indemnify and hold harmless NexaSoftech, its affiliates, and personnel from any claim arising out of (a) your use of the App, (b) content you publish or generate via the App, (c) your breach of these Terms, or (d) your violation of any law or third-party right.
17. Changes to the Service or Terms
We may modify the App, features, or these Terms at any time. Material changes to Terms will be notified via in-app notice or email at least 15 days before taking effect. Continued use after the effective date constitutes acceptance.
18. Governing Law and Dispute Resolution
These Terms are governed by the laws of India, without regard to conflict-of-laws rules. Exclusive jurisdiction lies with the courts of India, except where applicable consumer law grants you rights in your own jurisdiction.
19. Entire Agreement; Severability
These Terms, together with the Privacy Policy and any order form or in-app pricing terms, form the entire agreement between you and us concerning the App. If any provision is held unenforceable, the remaining provisions continue in full force.
